These Terms apply to all services provided by ProLogics Tech LLC (“we”, “us”) to you (“the client”). By accepting a quote or paying an invoice you agree to them.
Services and quotes
Each project is described in a written quote or proposal covering scope, deliverables, timeline and price. Work outside that scope is quoted separately.
Payment
- 50% deposit before work starts, the balance on delivery — or per the milestones in your quote.
- Invoices are due within 7 days. We may pause work on overdue accounts.
- Prices are in USD and exclude taxes and third-party fees unless stated.
Your responsibilities
You provide timely access, accounts, content and feedback, and confirm you have the right to use any data and materials you share with us.
Third-party platforms
Automations run on third-party tools (for example Make.com, n8n, GoHighLevel, HubSpot, Brevo, Twilio). Their subscriptions and usage fees are your responsibility, and we are not liable for their outages, pricing or policy changes.
Ownership
Once paid in full, you own the workflows and deliverables made for you. We may reuse general know-how and non-confidential components, and may mention you as a client unless you ask us not to.
Confidentiality
Both sides keep the other’s confidential information private and use it only for the project.
Support and warranty
We fix defects in our work reported within 14 days of delivery at no charge. Ongoing maintenance is available separately.
Liability
To the extent the law allows, our total liability is limited to the fees paid for the project concerned, and we are not liable for indirect or consequential losses.
Ending a project
Either side may end a project with written notice. You pay for work completed up to that date. See our Refund & Cancellation Policy.
Governing law
These Terms are governed by the laws of United States of America.
